TERMS & CONDITIONS

1. General Terms

  Definitions:
  • Client: Refers to an employer who engages Staff Help for recruitment services, whether for the supply of temporary workers or direct recruitment.
  • Candidate: A temporary worker or a direct recruit.
  • Temporary Worker: A contractor recruited by Staff Help and hired to the Client on a temporary basis. Staff Help pays the contractor, and the Client pays Staff Help.
  • Direct Recruit: A candidate recruited with Staff Help’s assistance who works directly for the Client, with the Client responsible for their wages. The direct recruitment date is the date specified in the candidate’s contract with the Client.
  • Recruitment Services: Engaging Staff Help to recruit a temporary worker and/or a direct recruit.
  • Subverting Our Services: Includes interviewing, discussing employment, or offering employment to a temporary worker within two years of introduction by Staff Help, either directly or through a third party, regardless of the candidate’s acceptance or non-acceptance of the offer.
  • Introduction Date: The date Staff Help brings a candidate to the Client’s attention for consideration.
  • Recruitment Fee: A sum agreed between the Client and Staff Help, typically a percentage of the direct recruit’s salary, payable 90 days from the direct recruitment date.
  • Introduction Fee: A fee of £5,000 (unless otherwise agreed in writing) payable if the Client subverts Staff Help’s services, due 30 days from the attempt to subvert or engagement of a temporary worker.
  • Onboarding: In a direct recruitment scenario, Staff Help will manage all candidate communications until contracts are exchanged and signed by both parties. Additional fees may apply for services beyond onboarding, such as background checks.

2. Incorporation

Our standard terms apply to all orders for services. Any agreement between the Client and Staff Help includes the order for services (e.g., order form, purchase order, statement of work) and these terms. Any alternative terms proposed by the Client are expressly excluded.

3. Payment Terms

  • All fees quoted include VAT.
  • Invoices are due upon receipt unless otherwise agreed in writing.
  • Late payments are subject to contractual interest of 8% above the Bank of England base rate.
  • Payments must be made via bank transfer.
  • Legal costs incurred by Staff Help in recovering overdue payments will be recoverable from the Client.

4. Data Protection and Confidentiality

  • All agreements must remain confidential.
  • Staff Help complies with GDPR and all relevant data protection laws.

5. Liability Limitations

  • Staff Help is not liable if a recruited candidate does not meet expectations or leaves employment prematurely.
  • Staff Help is not responsible for the performance of candidates once hired.

6. Termination Policy

  • Either party may terminate the agreement for a breach of terms.
  • A minimum of five weeks’ notice is required to cease temporary work.
  • Staff Help is given up to 90 days to recruit temporary workers or direct recruits, with extensions subject to mutual agreement.

7. Governing Law

All disputes will be governed by English law.

8. Force Majeure

In cases of unforeseen circumstances (e.g., natural disasters, pandemics), Staff Help reserves the right to pause services. Services will resume once the force majeure event has concluded.

9. Amendments

Staff Help reserves the right to amend these terms with prior notice to Clients.

10. Direct Recruitment

  • A non-refundable deposit is payable after an initial consultation. This deposit, typically a percentage of the recruitment fee, will be deducted from the final fee.
  • Staff Help will source and provide suitable candidates, ensuring onboarding is completed.
  • The full recruitment fee becomes payable after the candidate successfully completes the agreed probation period – 90 days from the date specified in the candidate’s contract with the Client.
  • If recruitment is unsuccessful or cancelled, the deposit is retained to cover administrative costs.

11. Temporary Workers

  • Clients must not circumvent Staff Help’s services by recruiting temporary workers introduced by Staff Help within two years of introduction, either directly or through third parties.
  • Any such action will result in a £5,000 introduction fee (or an amount otherwise agreed in writing) payable within 30 days.

12. Onboarding

  • For direct recruitment, Staff Help manages all candidate communications until contracts are exchanged and signed by both the Client and the candidate.
  • Once onboarding is complete, communication responsibilities will be transferred to the Client.
  • Additional fees apply for services beyond standard onboarding, such as background or reference checks.
